Terms of Service

Welcome to Subignite. These Terms of Service ("Terms") constitute a legally binding agreement between you and Bytetify LLC, doing business as Subignite ("Subignite," "we," "us," or "our"), governing your access to and use of the Subignite platform, including the website at https://subignite.com, all associated subdomains, applications, features, and services (collectively, the "Platform").

By accessing or using the Platform, creating an account, purchasing content, or publishing content as a creator, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

Subignite reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform with a revised "Last updated" date. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.

1. Definitions

Throughout these Terms, the following definitions apply:

"Creator" refers to any user who registers a space on the Platform to publish, distribute, or sell digital content or community access.
"Member" or "Buyer" refers to any user who purchases, subscribes to, or accesses content or communities through a Creator's space on the Platform.
"User" refers to any individual who accesses or uses the Platform, whether as a Creator, Member, or visitor. A single individual may act as both a Creator and a Member.
"Space" refers to the branded area created by a Creator on the Platform, accessible via a custom subdomain (e.g., yourname.subignite.com).
"Content" refers to any digital material uploaded, published, or distributed through the Platform, including but not limited to audio files, video files, downloadable resources, community access credentials, repository access, and private links.
"Services" refers to all features, tools, and functionality provided by the Platform to Creators and Members.

2. Platform Description

Subignite is a software-as-a-service platform that enables Creators to monetize digital content and community access from their own branded spaces. The Platform operates as an intermediary — it facilitates the connection between Creators and Members but does not create, curate, endorse, or guarantee any Content made available through Creators' spaces.

Subignite is a distributor, not a publisher, of Content supplied by Creators and other third parties. Subignite exercises no editorial control over Creator Content and assumes no responsibility for its accuracy, quality, legality, or appropriateness.

The Platform supports the following types of digital content and access:

Audio content, including singles, albums, podcasts, and audio courses
Video content, including lessons, courses, and exclusive video material with HD streaming
Downloadable files, including templates, presets, PDFs, sample packs, and digital resources
Community access, including paid membership to private Telegram groups, Discord servers, and WhatsApp channels
GitHub repository access for developer tools and code
Private links and exclusive gated resources

3. Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater) to use the Platform. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

If you are using the Platform on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" refers to both you individually and the entity you represent.

4. Account Registration and Security

4.1 Account Creation

To access certain features of the Platform, you must create an account. Subignite uses magic link email authentication — you will receive a one-time login link sent to the email address you provide. No passwords are required or stored.

When creating an account, you agree to provide accurate, current, and complete information, including your email address, first name, and last name. You may also upload a profile avatar and set a language preference. You are responsible for keeping your account information up to date.

4.2 Account Security

You are responsible for maintaining the security of the email account associated with your Subignite account, as it serves as your sole authentication method. You agree to notify us immediately at support@subignite.com if you suspect any unauthorized access to or use of your account.

Subignite is not liable for any loss or damage arising from unauthorized access to your account resulting from your failure to secure your email account or to notify us of unauthorized access.

4.3 One Account Per User

Each individual may maintain only one account on the Platform. Creating multiple accounts to circumvent Platform restrictions, abuse free features, or manipulate any aspect of the Services is prohibited. If we determine that you have created multiple accounts in violation of this provision, we reserve the right to suspend or terminate all associated accounts without notice.

5. Creator Terms

5.1 Creator Spaces

Creators may establish a Space on the Platform with a custom subdomain. By creating a Space, you agree to comply with all applicable laws and regulations in your jurisdiction, including those governing digital commerce, consumer protection, taxation, and content distribution.

Creators are solely responsible for the Content they publish, the pricing they set, and the accuracy of any descriptions, claims, or representations made within their Space. Subignite does not review, approve, or endorse Creator Content prior to publication.

5.2 Pricing and Fees

Subignite charges a platform fee on Creator sales that varies by plan: 3% on the Free plan, 1% on the Growth plan, and 0% on the Business plan. These fees are in addition to standard payment processing fees charged by Stripe (approximately 2.9% + 30¢ per transaction, though exact rates may vary based on your Stripe account configuration, currency, and payment method).

There are no monthly platform fees on the Free plan, no listing fees, and no hidden charges from Subignite. Creators may offer their Content as one-time purchases, recurring subscriptions, free access, or trial periods.

5.3 Creator Obligations

As a Creator, you represent and warrant that:

You own or hold all necessary rights, licenses, and permissions to the Content you publish and sell through the Platform.
Your Content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.
Your Content complies with all applicable laws and regulations, including consumer protection laws and export controls.
You will fulfill all purchases and subscriptions in accordance with the terms you present to Members within your Space.
You will respond to Member inquiries and complaints regarding your Content in a timely and professional manner.
You are solely responsible for determining and collecting any applicable taxes on your sales, and for remitting such taxes to the appropriate authorities.

5.4 Community and Repository Access

Where Creators offer community access (Telegram, Discord, WhatsApp) or GitHub repository access as part of a purchase or subscription, the Platform provides automated management features including auto-addition on purchase and auto-removal on expiration. Creators acknowledge that these automated integrations depend on third-party APIs and services, and Subignite does not guarantee uninterrupted operation of these features. Creators remain responsible for manual management of access in the event of API disruptions.

6. Member Terms

6.1 Purchasing Content

When you purchase Content or subscribe to access through a Creator's Space, you are entering into a transaction with the Creator, not with Subignite. Subignite facilitates the transaction through its Platform and payment infrastructure but is not a party to the agreement between you and the Creator.

By completing a purchase, you acknowledge that digital content is delivered electronically and that access is typically granted immediately or shortly after payment confirmation.

6.2 Subscriptions and Recurring Payments

Certain Content or community access may be offered on a recurring subscription basis. By subscribing, you authorize recurring charges at the interval and price specified at the time of purchase. Subscription charges will continue until you cancel your subscription.

Upon cancellation of a subscription, you will retain access to the subscribed Content or community through the end of your current paid billing period. No pro-rated refunds will be issued for partial billing periods.

6.3 Member Obligations

As a Member, you agree that:

You will not redistribute, resell, share, or make publicly available any Content you have purchased or accessed through the Platform, unless the Creator explicitly permits such use.
You will not attempt to circumvent any access restrictions, digital rights management, or payment requirements on the Platform.
You will not use automated tools, bots, or scripts to access or download Content from the Platform.
You will comply with any additional terms or community guidelines established by individual Creators within their Spaces.

7. Payment Processing

7.1 Stripe and Stripe Connect

All financial transactions on the Platform are processed through Stripe and Stripe Connect. Subignite does not directly process, store, or handle payment card data. When you make a purchase, your payment information is transmitted directly to Stripe in accordance with Stripe's security standards and PCI-DSS compliance.

Creators receive payouts directly from Stripe to the bank account linked to their connected Stripe account. Subignite does not hold funds on behalf of Creators or Members at any time.

By using the Platform to make or receive payments, you agree to be bound by Stripe's Terms of Service and Stripe's Privacy Policy in addition to these Terms.

7.2 Payment Failures and Retries

If a payment fails due to insufficient funds, an expired card, or any other reason, Stripe may automatically retry the charge in accordance with its standard retry policies. You are responsible for ensuring that your payment method is valid and has sufficient funds. Subignite is not responsible for any fees or consequences arising from failed or declined payment attempts.

7.3 Currency and Taxes

Prices for Content are set by Creators and may be displayed in various currencies. The actual charge to your payment method may be subject to currency conversion fees imposed by your bank or payment provider. Subignite does not control these fees.

Subignite does not collect or remit taxes on behalf of Creators or Members. Creators are responsible for determining applicable tax obligations. Members are responsible for any taxes that may apply to their purchases under the laws of their jurisdiction.

8. Intellectual Property

8.1 Platform Intellectual Property

The Platform, including its design, software, logos, trademarks, text, and all other elements (excluding Creator Content and Member-generated data), is the exclusive property of Subignite and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent.

8.2 Creator Content Ownership

Creators retain full ownership of all Content they upload, publish, or distribute through the Platform. Subignite does not claim any ownership rights over Creator Content.

8.3 License to Subignite

By uploading Content to the Platform, Creators grant Subignite a limited, non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, transmit, and distribute the Content solely as necessary to operate the Platform and provide the Services. This includes the right to display Content previews, generate thumbnails, cache content for performance, and deliver Content to authorized Members.

This license does not grant Subignite the right to sell, sublicense, or commercially exploit Creator Content independently of the Platform. This license terminates when the Creator removes the Content from the Platform or deletes their account, except that Subignite may retain archival copies for a reasonable period as necessary for legal compliance, backup, or dispute resolution purposes.

8.4 Member License

When a Member purchases Content, the Creator grants the Member a limited, non-exclusive, non-transferable license to access and use the Content for personal or internal business purposes, subject to any additional terms specified by the Creator. This license does not include the right to redistribute, resell, or publicly display the Content unless the Creator explicitly authorizes such use.

9. Prohibited Conduct

You agree not to engage in any of the following activities in connection with the Platform:

Violating any applicable local, national, or international law or regulation.
Uploading, publishing, or distributing Content that is unlawful, defamatory, obscene, threatening, invasive of privacy, or otherwise objectionable.
Uploading or distributing Content that infringes upon the intellectual property rights, publicity rights, or other proprietary rights of any third party.
Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with any person or entity.
Engaging in fraud, phishing, or any deceptive practices.
Distributing malware, viruses, or any harmful code through the Platform.
Attempting to gain unauthorized access to any part of the Platform, other users' accounts, or any systems or networks connected to the Platform.
Scraping, data mining, or using automated means to collect data from the Platform without our prior written consent.
Reverse engineering, decompiling, or disassembling any part of the Platform's software or infrastructure.
Interfering with or disrupting the integrity or performance of the Platform or its underlying infrastructure.
Using the Platform to send unsolicited communications, spam, or promotional material.
Creating multiple accounts to abuse Platform features, circumvent restrictions, or evade enforcement actions.
Reselling or redistributing Platform access or Services without authorization.

10. Content Moderation and Removal

While Subignite does not pre-screen or routinely monitor Creator Content, we reserve the right (but have no obligation) to review, modify, or remove any Content that, in our sole discretion, violates these Terms, is potentially harmful, or is otherwise objectionable. We may also remove Content in response to valid legal requests, court orders, or intellectual property complaints.

10.1 DMCA and Copyright Complaints

Subignite respects the intellectual property rights of others. If you believe that any Content on the Platform infringes your copyright, you may submit a notice to our designated copyright agent at support@subignite.com with the following information:

A description of the copyrighted work you claim has been infringed.
A description of where the allegedly infringing material is located on the Platform, with sufficient detail to allow us to locate it.
Your contact information, including your name, address, telephone number, and email address.
A statement that you have a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.
Your physical or electronic signature.

Upon receipt of a valid notice, Subignite will act promptly to remove or disable access to the allegedly infringing material. We will notify the Creator responsible for the Content and provide them the opportunity to submit a counter-notice if they believe the removal was in error.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us at support@subignite.com. Upon termination, your right to access the Platform will cease. If you are a Creator, you must fulfill any outstanding obligations to Members (including active subscriptions) prior to or upon account termination. If you are a Member with active subscriptions, cancellation of your account will also cancel those subscriptions at the end of the current billing period.

11.2 Termination by Subignite

Subignite may suspend or terminate your account, in whole or in part, at any time and for any reason, including but not limited to violations of these Terms, suspected fraudulent activity, prolonged inactivity, or as required by law. Where practicable, we will provide notice prior to termination and an opportunity to cure the violation. However, we reserve the right to terminate accounts immediately and without notice in cases of severe or repeated violations.

11.3 Effect of Termination

Upon termination, your license to use the Platform is immediately revoked. Subignite may delete your account data, including Creator Content, after a reasonable retention period (typically 30 days) unless longer retention is required by law or necessary for dispute resolution. Sections of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, limitations of liability, and dispute resolution — will survive.

12. Disclaimers

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SUBIGNITE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SUBIGNITE DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT AVAILABLE THROUGH THE PLATFORM.

SUBIGNITE DOES NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY CONTENT PUBLISHED BY CREATORS, ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY CREATORS, OR ANY TRANSACTION BETWEEN CREATORS AND MEMBERS. SUBIGNITE IS NOT A PARTY TO AND BEARS NO LIABILITY FOR ANY DISPUTES ARISING FROM TRANSACTIONS BETWEEN CREATORS AND MEMBERS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUBIGNITE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF SUBIGNITE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUBIGNITE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO SUBIGNITE (NOT TO CREATORS) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless Subignite, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of or access to the Platform.
Your violation of these Terms.
Your violation of any applicable law or regulation.
Any Content you upload, publish, or distribute through the Platform.
Any dispute between you and another User, including disputes between Creators and Members.
Your infringement of any intellectual property or other rights of any third party.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Subignite at support@subignite.com and attempt to resolve the dispute informally. We will endeavor to resolve your concern within thirty (30) days of receipt.

15.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Argentina, without regard to its conflict of laws provisions.

15.3 Jurisdiction

For any disputes that cannot be resolved informally, you agree to submit to the exclusive jurisdiction of the courts located in the Autonomous City of Buenos Aires, Argentina. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

15.4 Consumer Protection Rights

Nothing in this section is intended to override mandatory consumer protection rights applicable in your jurisdiction. If you are a consumer residing in the European Union, the European Economic Area, the United Kingdom, or any other jurisdiction with mandatory consumer protection laws, those protections shall continue to apply to the extent required by law.

16. Third-Party Services and Integrations

The Platform integrates with and relies upon certain third-party services, including but not limited to Stripe, Telegram, Discord, WhatsApp, and GitHub. Your use of these third-party services is governed by their respective terms of service and privacy policies. Subignite is not responsible for the availability, accuracy, security, or practices of any third-party services.

Subignite does not guarantee the continuous availability of any third-party integrations. If a third-party service modifies, restricts, or discontinues its API or service, certain features of the Platform may be affected. Subignite will make commercially reasonable efforts to maintain integrations but assumes no liability for disruptions caused by third-party service changes.

17. Availability and Modifications

Subignite reserves the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes that may affect your use of the Platform. Subignite shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform or any part thereof.

The Platform may experience downtime for maintenance, updates, or due to circumstances beyond our control. Subignite does not guarantee any specific level of uptime or availability.

18. Electronic Communications

By creating an account on the Platform, you consent to receiving electronic communications from Subignite, including transactional emails (magic link authentication, purchase confirmations, subscription notifications) and service-related announcements. You may also opt in to receive marketing and promotional communications, which you can unsubscribe from at any time.

You agree that all agreements, notices, disclosures, and other communications that Subignite provides to you electronically satisfy any legal requirement that such communications be in writing.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

20. Waiver

The failure of Subignite to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Subignite.

21. Entire Agreement

These Terms, together with the Privacy Policy and the Refund & Cancellation Policy, constitute the entire agreement between you and Subignite regarding your use of the Platform and supersede all prior and contemporaneous agreements, representations, and understandings.

22. Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Subignite. Subignite may assign or transfer its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law.
